Cuba Travel Looking More Likely for U.S. Citizens

Hotel Nacional, Habana, Cuba

Cuba and iconic spots like the Hotel Nacional de Cuba may once again be a legal travel destinations for U.S. citizens, thanks to a congressional bill unveiled yesterday that would lift the 47-year ban on travel to the country. Earlier this month, the U.S. Senate approved relaxed family travel privileges to allow Cuban-Americans to visit relatives in Cuba one a year and with higher per diem allowances than before.

The travel ban accompanies a trade embargo enacted in 1961, the year the United States decided to end diplomatic relations with Cuba in hopes that the restrictions would eventually push it and its government toward democracy.

If the bill succeeds, travel to the Cuba is expected to spike, suggests a story on CNN.com:

Some Cuban-Americans have a vested interest in lifting the travel ban. Tessie Aral, owner of a Miami, Florida, travel agency that specializes in trips to Cuba, is one of them.

"I think a lot of Americans are going to want to travel to Cuba because it¹s been the forbidden fruit for so long," Aral said. "For our country to tell us which country we can travel to, I think that's just archaic."

Until changes in U.S. policy take place, heavy restrictions on travel to Cuba limit access - legally, at least - to those visiting under special circumstances such as official government business, to report for news organizations, to visit close relatives and part of educational or religious groups.

I, (Pedro Borges Fiol), have returned this morning from America I CUBA to America III COSTA RICA.

Using our PANAMERSA News Blog, we will write a short brief to inform and update our audience about the realities or our predictions and the sense of belonging regarding the beginning of the orderly and very disciplined actions to remove the embargo imposed for over forty seven years by America II USA on America I CUBA.

For over eight months PANAMERSA has advised to all without frontiers that the process of lifting the embargo would begin 0n March 9th, 2009. We are hereby annpouncing that it began as predicted on the exact day. This shows that we are serious about our work and that our business plan works well and on time. Also, This action will directly reflect on the performance of PNMS:PK and all PANAMERSA in the near future. All four regions of our AMERICA will be better rewarded. Good morning Pan Americans…

Today we will begin with a quote from President Barrack Hussein Obama inaugural address. It is as follows: “ … They understood that our power alone cannot protect us, nor does it entitle us to do as we please. Instead, they knew that our power grows through its prudent use; our security emanates from the justness of our cause, the force of our example, the tempering qualities of humility and restraint. We are the keepers of this legacy. Guided by these principles once more, we can meet those new threats that demand even greater effort — even greater cooperation and understanding between nations.”

To us Pan Americans, President Obama understands the importance of a good neighbor policy along with the commercial integration of South, Central America and the Caribbean into the economic development of Pan America (The America), to all without frontiers. We Pan Americans from America I through America IV will be helping our common cause, therefore, Mr. President Obama, we will continue to develop culture to gain economic growth for all future generations to come. To create the change needed to accomplish our goals, America II USA must begin an orderly lifting of all embargoes against America I CUBA, and America I CUBA will be able to develop an orderly process towards the PANAMERSA Integration philosophy. These actions will stop a fifty-year vacuum that has kept two sense of belonging sovereign nations apart.

§ Now lets talk about PNMS:PK future and the continued execution of our business plan.

During the last five months PANAMERSA has been immersed in a very serious situation with the defunct PDR Exchange Hoax, its corrupt Staff in America II Dallas, the bogus PDRs (Pan American Depository Receipts) and PNMS:PK mismanagement. These embarrassing realities have borne a tremendous lost of capital to PNMS:PK shareholders and PANAMERSA as a whole. Today, PANAMERSA has been decontaminated from bad management, corruption and selfishness’ and will continue to promote it's Pan American business plan.

Different ideas for a bail out program have been looked at.

Below is a commentary from a very good friend and a highly educated PNMS:PK investor. It is as follows:
“What event is going to occur in the near future to suddenly make these worthless shares worth $.04 to someone else?

The only options I see are:
a) Publish audited financials of PNMS and move to the NASDAQ stock exchange (an audit from a reputable firm?) that indicate that PNMS has net assets worth $224 million or earnings of $22 million (30% x 5.6 billion shares x $224 million = $.04/share, or P/E of 10).
b) Move to the NASDAQ, this would require a reverse split, as need share price is $5.00 to list.
c) Issue annual cash dividend of $44.8 million or $.01 per share (representing a 25% return on equity of $.04 per share) either to guarantee holders or all shareholders.

d) Execute a share buy-back for 30% of shares for $.04 each.

e) Negotiate a sale to a corporate buyer for assets of PNMS and issue the proceeds to PNMS shareholders (no one in the public markets would buy these shares, and I guess the Russian offer of $.05 per share that Pedro turned down is not coming back, right? > (the offer is being negotiated, let us not forget that the offer was private i.e.: buying directly from FUNDAPAN or PNMS:PK. This is one of the reasons for moving shares to Bank of America in America II USA)

To prepare for what ever decision is agreed upon PNMS:PK has already began to work a plan with the assistance of Mr. James Finegan and others.

3,410,919,233 PNMS:PK shares owned by FUNDAPAN, for the benefit of its Beneficiaries, have been taken to America II USA to set up account at Bank of America. this means we are ready, willing and able to proceed.
PANAMERSA Corporation PNMS:PK has been removed as beneficiary from FUNDAPAN to allow self-determination and freedom to execute its own policies.
James Emmett Finegan III was appointed Director and Vice-President with general power of attorney to carry on his unrestricted and uncensored mandate. Jim will be acting as President and CEO replacing Pedro Borges Fiol to allow him to carry on his duties in America I, III & IV.
PNMS:PK will not be deriving revenues from FUNDAPAN and will manage its own projects, including a high investment in America I which will become very profitable once the first steps of the orderly lifting of the embargo begins.
PNMS:PK will be negotiating a joint venture with a mining company in America II MEXICO, and there will be other projects in the area of family remittances from America II to the rest of America.
Once the embargo is lifted PNMS:PK will become the first publicly traded company in America I, II, III & IV.
PNMS:PK will be using FUNDAPAN depository services for its offshore projects exclusively.

Panamersa PNMS:pk Corporate Resolution

I, PEDRO BORGES FIOL, Costa Rican, identity number eight-zero zero seventy and eight-zero two hundred twenty-five, in my function as President and CEO of PANAMERSA COPORATION (PNMS:PK), a corporation established under the laws of the State of Nevada, America II USA, declare the following changes and decisiones taken by the Board of Directors in America III Costa Rica, which I detail here:

NUMBER I: To all interested parties and especially THE NEVADA AGENCY AND TRUST COMPANY (NATCO) that Mr. Michael Scott Terrell, has had all his powers revoked due to the aberrant situation that has been revealed and is known to all now.

NUMBER II: That PNMS:PK does not have complete knowledge of nor does it recognize any of the actions taken since June 1, 2006 until today by the PDR EXCHANGE (PANAMA), Inc., under it's President and CEO Mr. Michael Scott Terrell.

NUMBER III: That all stockholders of PNMS:PK that acquired PDRs, which as we now know, were false, will participate in the restitution plan set up by FUNDACION PAN AMERICA (FUNDAPAN).

NUMBER IV: That by this resolution the position of executive position Vice-President of Corporate Affairs and Compliance has been created.

NUMBER V: That Mr. James Emmet Finegan III, a US citizen, passport number two one one eight one five one six zero, has been named as Vice-President of Corporate Affairs and Compliance of PNMS:PK

NUMBER VI: That by this means Mr. Finegan has been endowed with General Power of Attorney in order to carry out his appointed tasks in America II.

NUMBER VII: I, Pedro Borges Fiol, in my position as founder and Protector of FUNDACION PAN AMERICAN (FUNDAPAN) a private interest foundation, established in the Republic of Panama and duly authorized under Law 25 of July 12, 1995 agree to the following:

NUMBER 1:

Place 2,760,919,233 shares of PNMS:PK, represented by sixteen negotiable certificates, in Mr. Finegan's caretaking with Mr. Antonio Murillo Giambrone, Secretary of PNMS:PK and Alvaro Chaves Monge, President of ASIMERSA as witnesses.

NUMBER 2: That said stock has been placed in Mr. Finegan's caretaking with the following objectives:

- Establish a brokerage account in the Bank of America in the State of Nevada, America II USA and other brokerages authorized to operate in the USA.

NUMBER 3: That Mr. James Emmet Finegan III, will manage this account in order to

- Execute the restitution plan for PNMS:PK stockholders.

I, James Finegan, am writing this web log from my hotel room in Costa Rica, as I was invited to come here by Pedro Borges Fiol.

The purpose of my trip is to evaluate and consult with the Directors of PANAMERSA Corporation PNMS:PK to identify and solve the current problems to get the company and its Stock headed in the right direction.

I will not beat about the bush in informing the PNMS:PK shareholders the facts such as they are:

The PDR Exchance (Panama) Inc., and PNMS PDRs, an investment made by some PNMS:PK shareholders that promised great returns, is a bogus investment. This means that the only value in the purchase of a PNMS PDR lies in the actual PNMS:PK shares when the investor recovers them. The Fundacion Pan America “FUNDAPAN” did not authorized the great investment returns or Foundation membership promised by the PDR Exchange and as such will in no way be committed to paying these obligations. Neither FUNDAPAN nor PNMS:PK received any benefit from the PDR Exchange and its activities. It appears that the PDR Exchange has no cash and little if any assets, with incomplete records and books at this time.
PNMS:PK itself needs to have its books and regulatory obligation brought up to date.
PNMS:PK has too many shares outstanding at the 5.6 Billion Shares. This is about the same number of shares as the Ford Motor Company and this is partially responsible for its low 0.0001 PPS.
The company needs to develop some business interest that can grow it's reportable earnings. PNMS:PK currently relies on its non-reportable interest in FUNDAPAN for stock appreciation.

In the near term PNMS:PK will reorganize with a business plan that addresses the above problems and other matters. Pedro is very concerned about the PDR Exchange mess and identifying who and how many PNMS:PK shareholders lost due to this hoax, so that some recovery and restitution can be made.

I know this is not a pleasant report but remember it is the future that counts not the past. We ask all PNMS:PK shareholders to help us make 2009 a great year for a reorganized PANAMERSA Corporation PNMS:PK.

What can we do to assist the real PNMS shareholders, victims of the PDREX hoax and the bogus PDR’s scam? A rescue, recovery and restitution plan of action to be identified as “The Bailout Plan for PNMS Shareholders”.

Fundacion Pan America FUNDAPAN Resolutions regarding: Micheal Scott Terrell, the “PDREX an act of infamy” and Pedro Borges Fiol.

Introduction:

“Hombres Libres the Buenas Costumbres” is a Hispanic phrase that has been part of our PANAMERSA Credo. Translated to Anglo the phrase represents “Free Men of Good Standing and Decorum”. People of honor, integrity, responsibility, dedication, intelligence, transparency etc., as expressed in our “Carta Magna” are an important part of our mandate. A violation of these fundamentals makes the perpetrator a traitor to our most basic principle therefore becoming a saboteur and the antithesis of our “Carta Magna”.

Resolutions:

Mr. Michael Scott Terrell “MST” has violated all of the above and has become a “Persona non Grata’ to our movement and he will be prosecuted by FUNDAPAN for his selfish actions and banned for all of our activities. MST is responsible for his actions in his capacity as President and CEO of the PDREX.com, S.A. and hereby required to make restitution for his wrong doings to his associates in the PDREX in America II and some in Europe. He made a hoax of the PDREX software, created a premeditated situation with DESIMPLEX to gain full control of the software, produced bogus PDRs (Pan America depository Receipts), did not comply with the systems and procedures well known to him under Law 25 of the 12th of June of 1995 of the Republic of Panama, improperly used the Deposit Credit Corporation “DCC” specific mandate, misused the bank accounts at Bank of America for PNMS & DCC and others unknown to the foundation, misinformed his associates, continues to withhold assets and information belonging to FUNDAPAN, has neglected all his duties as Fiduciary and CEO of the PDREX and committed premeditated criminal acts. Mr. Michael Scott Terrell has been classified by the general council, the founder-protector of FUNDAPAN and all of PANAMERSA as the worst mistake in judgment made by the movement since the early 1990’s, a disgrace to our “Carta Magna”, Credo, thesis and movement to promote and assist the commercial integration of South, Central America and the Caribbean into the economic development of Pan America; Four regions united to form Team America. He will be banned forever from our past and future. FUNDAPAN has done everything in his power to assist all affected parties in America II and Europe to no avail and suggests the affected parties, Natural persons or Legal entities to complaint to the proper authorities in the Justice department in America II USA.

FUNDAPAN will recognize as Beneficiaries only; the Natural persons or Legal entities that properly complied with FUNDAPAN Protocol. As we mentioned in past news blogs FUNDAPAN has 428,078,547 (four hundred and twenty eight million and seventy eight thousand five hundred and forty seven) PNMS shares in the form of one CERT made out to the Fundacion Pan America. This certificate is protected in safekeeping and to our knowledge belongs to more or less one hundred PNMS Shareholders; the remaining PNMS Shares are illegally in the possession of MST in America II USA, Dallas.

We will never refer publicly to Micheal Scott Terrell again; it is now up to the Federal Authorities In America II USA.

PDREX.COM, S.A. a Panamanian stock corporation beneficiary of FUNDAPAN will continue with suspended operations until the software engineers in Costa Rica can take control of it. Important update on the investigation of the PDR Exchange...

Let's get to the issues:

1. To date, MST and PDREX have not responded in a positive way: FUNDAPAN has not received the conveyances sent in for approval from the PDREX, therefore we must assume that the alleged beneficiaries of FUNDAPAN generated by the PDREX, MST, and staff are BOGUS...
2. All the information provided to the investigators by MST and Software designers regarding the PDREX software is not sufficient to decipher and confusing to the point that the experts on software development investigating are beginning to think the PDREX software is A HOAX. These facts explains why the problems with DESIMPLEX were created by MST to gain control of the software to be able to manipulate it? FUNDAPAN is the owner of the PDREX software for the benefit of its beneficiaries.
3. Another party from Sarasota, Florida has emerged in the group? He has emailed stating that: MST will send all PNMS share certificates illegally held in Dallas next week to FUNDAPAN. Great damage has already been done...I do not know the fellow!
4. The bank accounts for PNMS and DCC at Bank of America in America II USA, Dallas have no balance… we are trying to get the Bank to cooperate, to be able to check the Bank statements for both accounts...
5. I met with Fed-Reps from America II USA in C.R. They will begin a fraud investigation involving PDREX, Michael Scott Terrell CEO PDREX, Gregg Nichols CPA, Old Transfer Agent and others involved. We are fully cooperating as far as Law 25 of the 12th of June, 1995 allows us, since the Assets involved in the alleged fraud were never conveyed or received by FUNDAPAN.

FUNDAPAN and PANAMERSA will succeed and go forward... at least the PNMS shares in the FUNDAPAN are secured... I will do all that is necessary to concentrate on PNMS (P.P.S.) to reflect it's true value and work with MM’s, Brokers, Others, Etc. to properly reflect the PNMS growth value. March 2009 is a good target to recover value from America I Cuba. The new President elect in America II USA will cooperate for an orderly lifting of the embargo!

I want to speak and share with fellow Pan Americans an email received today from Michael Scott Terrel (“MST”). As I have said before: Transparency will be my “Modus Operandi” I am therefore publicly challenging all the allegations from MST as written in the email below…He has not complied and is using diversionary tactics, to include statements such as…”The money collected for shares was not sent to the foundation because the shares they bought were. The money was used for Corporate expenses, Salaries, Desimplex, Travel, Hotels, Ebiz, legal Fees, hardware, hosting, office space etc. A large amount of the money was sent to the foundation? and another sizable amount was brought in cash for things Pedro needed to take care…?

Accountability: MST give us the proof of all those statements made below…if you gave sizeable amounts of cash…you would have had to declared it as outgoing from America II USA and incoming to America III Panama?

Are these guy slow or what?

I will try to explain.

The reason they are on spreadsheets is very simple.

People sent in shares and they were entered on a spreadsheet and then put into the PDR Exchange system.

The people who sent in money were also entered on a spreadsheet because they bought PNMS shares or Gold. Their shares/PDRs were entered into the PDR Exchange system.

All totals and PDR Holders were in the Exchange and all PDR holders in the exchange were current and no PDR Holders questioned the totals.

100,000 ounces of Gold was put into the Exchange account and as I understood it belonged to the Exchange to create liquidity for trading and to pay the guarantees.

The money collected for shares was not sent to the foundation because the shares they bought were. The money was used for Corporate expenses, Salaries, Desimplex, Travel, Hotels, Ebiz, legal Fees, hardware, hosting, office space etc. I large amount of the money was sent to the foundation and another sizable amount was brought in cash for things Pedro needed to take care of. None of those monies stolen or withheld.

The audit should be done for one thing and one thing only and that is determine if the trading software accurately traded the shares(PDRS) and Ounces of Gold that the exchange was tasked to do.

As far as the guarantee the decision to give the guarantee was done by Pedro and Myself. No one person just arbitrarily decided to do that. It was done to create a reason for the shareholders to make conveyances to the foundation thus providing a reason to have the exchange and prove that trading of PDRs could be done and was viable. That has been done.

The problem is this the Gold in the foundation was used to provide liquidity to the exchange internally. No one was buying or could sell shares because there was not any new cash in the foundation. Once the gold was conveyed and we started trading this last summer we proved people would buy and sell on the exchange. If I could have found a way for some new money to come into the foundation as payment for gold PDRs I would have had cash to start paying some of the people who wanted to sell their PDRS. Because no one could get any money out no one wanted to put new money in. The concept is viable and will work big time if there were enough cash in the exchange to pay anyone who wanted to cash out thus proving people could get money out.

Then new people would make deposits because they would be confident they could(like any other exchange) cash some of their profits as needed. Until a reasonable amount of cash is deposited to prove that a conveyance of cash for gold could be held and at such time that person, government or company could sell their gold and request a disbursement and have confidence they would receive it.

The numbers in the exchange are correct and if the auditors understood how it works they might figure out why the amount of the original conveyances do not match. That was the whole purpose of the exchange to allow people to trade PDRs within the Foundation. The buying and selling of PDRs change the amount of what beneficiaries have at any given time. The spreadsheets are the starting point. The spreadsheets are locked so no one will go into them and change the numbers and I might add they are already added up. If you wanted to add them up enter them in your own spreadsheet and add them.

Lets talk about PDREX.COM S.A. (“PDREX”) formerly known as, PDR Exchange (Panama) Inc.

The PDREX is a Panamanian stock corporation designated as beneficiary of Fundacion Pan America FUNDAPAN. This means that the common shares are properly conveyed to FUNDAPAN for the benefit of its common shareholders, natural persons and /or legal entities in good standing and all other assets being traded have to have been properly conveyed and accepted by FUNDAPAN in order to be able to trade… PDREX owns a trading platform with the objective to offer its services on line to Beneficiaries of FUNDAPAN exclusively through the domain PDRExchange.com registered by Micheal Scott Terrell. The product offered is represented by a Pan America Depository Receipt PDR that “evidences beneficial ownership of assets held in FUNDAPAN, for the benefit of its Beneficiaries, etc.” The PDREX is only a trading platform…it is NOT intended or allowed to solicit openly to all without frontiers…it is exclusively for the Beneficiaries of FUNDAPAN and it can trade amongst its beneficiaries ONLY. PDREX began operations offering services to PANAMERSA Corporation PNMS shareholders only, later it would venture to get verification and registration to expand to registered securities with “la Comision Nacional de Valores de la Republica de Panama” the regulating and compliance entity for securities exchanges in the Republic of Panama and to try a joing venture or similar with “ la Bolsa Nacinonal de Valores de Panama, S.A.”, the official Panamanian Stock Exchange. Presently FUNDAPAN and PANAMERA are litigating in Panamanian courts the registered trademark “PDR” representing “Pan America Depository Receipt and Pan American Depository Receipt". This civil action was started by us last year when the Panama Stock Exchange, represented by one of the finest law firm in Panama “Morgan & Morgan” and many other countries through out the world tried to register “PDR” as a Panamanian Depository Receipt, including our PDRs which had been in operations prior to there application. The case is still in litigation and some positive agreements will come out of this action.

The PDREX is a good idea with a lot of business sense, the only fault: Lack of competent management and a clear misinterpretation of its OBJECTIVES. It grew very fast and was offshore to Panama in America II USA and that, in my opinion, confused the Business plan: “…assisting in the commercial integration and economic development of OUR AMERICA (Pan America the Western Hemisphere).”

As soon as all this is over and all issues cleared and complied with, and all unattainable goals attained “we will return”. All of us investigating the PDREX (including Micheal Scott Terrell) agree that restitution is due to the registered and accepted beneficiaries of FUNDAPAN. All others associates of the PDREX not beneficiaries of FUNDAPAN will have to be reviewed and once the assets are in the possession of FUNDAPAN they will be treated as beneficiaries.

The investigation continues and is awaiting further news on the deciphering of the PDREX software. The investigation will extend to America II USA and Europe.

This ruling is based on the legal review of the facts as of today, Monday the 10th…as follows “There are no grounds to justify charges for violations of Law 25 of the 12th of June, 2008 and/or the Bank Privacy Act in the Republic of Panama”… ”All assets properly conveyed and accepted by FUNDAPAN, in compliance with the established protocol to become a beneficiary/PDR unit holder, are accounted for and fully protected in FUNDAPAN safekeeping”…

”The legal problem exists by the act(s) of…withholding and keeping assets offshore intended for FUNDAPAN safekeeping; previously given and/or delivered to PDREX.COM S.A. Fourth update on the investigation of the PDR Exchange...

Good morning Pan Americans…

First of all, we would like to congratulate USA President Barack Hussein Obama Jr. in his landslide victory. We Panamericans that make up Grupo Panamersa are ready, willing and able to assist America 2 in all the upcoming changes and make the Western Hemisphere better for all.

Secondly, as sad as it may be, FUNDACION PAN AMERICA FUNDAPAN, Foundation Council has unanimously agreed to bring the Ministry of Justice System in to the “PDREX an act of infamy” investigation.

Effective the 10th of November, 2008 charges will be made against:

* And other natural persons and legal entities involved.

For violation of LAW 25 of the 12th of June, 1995, governing Private Interest Foundations registered in The Republic of Panama, operating in the Republic of Panama and/or offshore outside the Republic of Panama; and others involving violations of the Bank Secrecy Act in the Republic of Panama; in the case of FUNDAPAN, “PDREX”, Associates and Beneficiaries; natural persons and/or legal entities in Panama or offshore in the United Sates of America.

We are sorry, we used every mean of persuasion to bring about a simple and rapid solution, however, the lack of cooperation from the “DCC” Dallas, Texas America II USA has forced this decision.

§ Additionally, to submit claims natural persons and/on legal entities must provide the following documents to FUNDAPAN legal department:

Third update on the investigation of the PDR Exchange...

Good morning Pan Americans…

First: Update on the “PDREXGATE an act of infamy” investigation. Second: Talking to the audience about our beginnings in America II during the third quarter of 2006 and an explanation on how the relationship began with the participation of Michael Scott Terrell “MST” to produce the merger of PayPro Inc., into the PANAMERSA integration movement, and its evolution to become PANAMERSA Corporation “PNMS”.

§ First…we begin with a thank you statement to PDREX associates for their patience, cooperation and for providing the investigating team with valuable additional information in our quest to decipher, beyond a shadow of doubt, why/what happened within the “PDREX”.

To date:

“MST” provided information, as follows, as is:

The PDR report from Michael Scott Terrell.

All PDR units owned by others: 134,589 = 1,345,589,000.

PDR units owned by PDREX.COM S.A.,

or me in the exchange: 10,300 = 103,000,000.

Total PDR units / shares accounted for

In the PDREX.COM S.A.: 144,889 = 1,448,589,000.

* A key statement: Accounted for in the PDREX.COM S.A.?

PDR units have to be accounted for by FUNDAPAN safekeeping vaults reports only. “PDREX” tracks the transactions subject to compliance, verification and acceptance by the depository, FUNDAPAN: as of today FUNDAPAN accounts for a bit over ffive hundred million PNMS shares, (fifty thousand PDRunits) for the benefit of beneficiaries/associates of “PDREX”. This is a big difference from “MST”'s “PDREX” report!

Lets review again the definition of a PDR (Pan America Depository Receipt). It is as follows: “A PDR is a depository receipt issued by FUNDAPAN that evidences beneficial ownership of assets conveyed to FUNDAPAN…etc.…a receipt of a conveyance into “FUNDAPAN”. The issuing of the PDR requires a procedure by a well-established protocol with check and balances. When the procedure is not followed precisely, the result is a bogus PDR.

The “PDREX” accounting has to match all PNMS shares conveyed and deposited into FUNDAPAN and not shares being held outside FUNDAPAN in the “DCC” Deposit Credit Corporation or somewhere else offshore in America II. “DCC” mandate was strictly to receive in America II only for the “PDREX” and forward PNMS shares and other assets to FUNDAPAN. Additionally keep the Bank records of Bank of America in Dallas, Texas, USA. (The information referred to here is proprietary and confidential of FUNDAPAN). Also, a PDR is issued electronically subject to final receipt of conveyance by FUNDAPAN. We have review the information sent to the investigators and have noticed all sorts of alleged PDR certificates; some have PANAMERSA on the face. A number of these documents were not issued following the protocol established and do not represent beneficial ownership of PNMS shares held by FUNDAPAN.

To date, we have four software engineers working to verify the “PDREX” software, I am told this is very painstaking and requires a lot of time, programmers have their own ways and tricks…there are certain findings, codes, passwords, etc. that are questionable and they have requested additional info from “MST”.

Now I will share with all Pan Americans without frontiers a communicate that I received from a very trusted and reliable professional, it is very interesting (some editing involved to protect privacy)…

It goes as follows:

“Just so you know, when Micheal called me last week, he answered some of my questions. He said the documents he has in his possession are safe; the problem is they have been requested to be delivered in person. He has no other employment or means of income and can not afford the costs to journey and deliver the documents…
He said he doesn’t have the funds for medicine, which he is, supposed to be taking nor is able to pay for where he is presently living. He said he has done everything he has been requested to do up to this point with dedication but has been affected by economics like everyone else.
He sounded sad as he thinks some are out to be against him; I said, well, if he hasn’t done anything wrong, then he should not be worried as things have a way of working out in the end. I also said that if he hadn’t done anything wrong that I would hope you would want to be fair in evaluating matters pertaining to his future with the company and help clear his name as some types of people are placing blame on him”
“Some lessons are harder to learn than others. It sounds as if MST is allowed to break them, then others could, too, and that is not the best option when managing a business dependent upon Trust. And when you place trust in another, especially when it comes to quality, then accountability is best held with a price - that of a higher standard. High standards should not be compromised in order to maintain clarity, balance and reliance on a visible, global scale”. MST may need some “time off” to forward rethink his course in life. His decision to opt for “lack of action” has adversely affected the shareholder base, so it seems”…END of communicate.

I would like to assure the audience that no one is out to get MST, after all he is still a shareholder in PNMS and the “PDREX”; having certain rights along with his responsibilities as co-founder of the Exchange. I, Pedro Borges Fiol have said this before…I want to help him…but to do so he must help all and me involved. We have to be humble and face the issues straightforward, after all he was the CEO, the Dictator of the “PDREX”. He knows how to communicate with others or me as he has done in the past. He has to do it by accepting certain mistakes made for the lack of follow up and follow through on his part, and the absence of procedures from the Dallas branch that acted as Gods gift to the world.

I have accepted my responsibility and stupidity by not taking action when I should have done so. I am now sure that I am not qualify to run experiments in the capital markets and/or the business of arbitrage in America II. FUNDAPAN will be looking for a qualified partner a talented, brave and adventurous professional seeking a high-risk challenge like running the “PDREX” platform correctly. It will help to be bi-lingual.

§ Second…. The beginnings of PNMS in America II…

During the year 2006 a number of unplanned actions took place in America III, Costa Rica, Panama and America II USA, Dallas that led to my meeting Michael Scott Terrell.

“It all began when associates of MST and a company known as CHEXCARD came to see us at one of our financial corporation branches in Costa Rica. They needed to procure certain monies to expand and/or to meet some obligations. They had recently joint ventured with PayPro Inc. a Nevada publicly traded company. We listened to their needs and my partner decided to help. Monies were transferred to WA-MU in Dallas, Texas to a CHEXCARD account. To make the story short and to the point, we received a very large amount of PYPR free trading shares as guaranteed. Time went on and the partners of PYPR and CHEXCARD disagreed on certain issues, therefore, decided to divest from their contract and become independent. As I can recall it, MST partner came to ask for the PYPR shares we owned by then and offered to pay for them, something happened and he did not get the money. The deal went sour and they lost all those hundreds of millions of PYPR free trading shares. Well one day MST called me and was very upfront with what was happening…bottom line we started a universal joint venture and MST was given the shares…he came to Panama and that is when all the whistles and bells took off. I was fascinated by this experience and gave MST full support in America I, II & III. During the month of December and January 2007 PayPro Inc., joined the PANAMERSA philosophy and became PANAMERSA Corporation PNMS. Now we had gained access to the capital markets in America II and would go to higher boards (that was the kicker)”. We worked very hard…and for the information of our audience, we will continue to work even harder…today under a different management style.

The rest of the story is why/what we investigate today…what happened to the PNMS shares, not in FUNDAPAN? What happened to the “PDREX”? What happened to the real PDR units, representing beneficial ownership of PNMS shares? If any of the audience has additional information please help us by sharing it with US.

The rest of Grupo PANAMERSA sense of belonging entities in America I, II and III are progressing at a steady rate, the financial global situation challenging all of US will be overcome by working harder to accomplish our projects and goals.

Better news for PANAMERSA Corporation PNMS shares! Our PNMS C.O.O. is presently working on a large acquisition/merger within America II. When we officially announce this important action, the value of PNMS shares will be enhanced and hopefully will be able to convince the Market Makers and Brokers in America II that PNMS is real and have crossed over to a great future. Grupo PANAMERSA and I are very happy about this negotiation to proof that our sense of belonging PNMS Company in America II is growing older, wiser, having paid great dues to overcome mediocrity.
